Carrier hereby authorizes Carter Logistics LLC to act as its independent dispatcher for the purpose of locating, negotiating, and coordinating freight opportunities on Carrier's behalf.

Dispatcher is an independent contractor and is not an employee, agent, partner, or joint venture participant with Carrier. Carrier shall maintain exclusive possession, control, and use of all equipment and shall be solely responsible for the operation of its motor carrier business.

Dispatcher agrees to perform the following services:

• Locate and negotiate freight loads.
• Communicate with brokers and shippers.
• Assist with carrier packets and setup paperwork.
• Provide dispatch support and load information.
• Coordinate pickup and delivery appointments.
• Assist with route planning and scheduling.
• Provide updates regarding available freight opportunities.

Dispatcher does not guarantee specific freight volumes, rates, revenue, or continuous work.

Carrier must choose ONE of the following payment options before dispatch services begin:

• OPTION A: 5% of the gross amount of each load booked and dispatched by Carter Logistics LLC.
• OPTION B: $250.00 per week regardless of the number of loads dispatched.

All dispatch fees shall be due and payable within two (2) business days of the Carrier receiving payment from the broker, shipper, or factoring company. Failure to remit payment within two (2) business days may result in suspension or termination of dispatch services until payment is received.

For Carriers selecting the 5% per load option, accepted payment methods are: Cash App, Zelle, Apple Cash, ACH Transfer. For Carriers selecting the $250 weekly flat-rate option, ACH Transfer is mandatory unless otherwise approved in writing by Carter Logistics LLC. No payments shall be accepted by mailed check.

Carrier agrees to: maintain active operating authority; maintain all required insurance coverage; operate safely and legally at all times; maintain compliance with all FMCSA regulations; maintain all required permits, registrations, and licenses; provide Dispatcher with timely updates regarding load status; notify Dispatcher immediately of delays, breakdowns, accidents, or missed appointments; and submit proof of delivery documents promptly upon load completion.

Dispatcher agrees to exercise reasonable efforts to secure freight opportunities; act in good faith during negotiations; maintain confidentiality regarding Carrier business information; communicate load details promptly and accurately; and provide professional dispatch support during the term of this Agreement.

Either party may terminate this Agreement at any time by providing written notice to the other party. Any unpaid dispatch fees earned prior to termination shall remain due and payable. Dispatcher reserves the right to immediately terminate services for non-payment, fraud, unsafe operations, or violation of FMCSA regulations.

Carrier agrees not to intentionally bypass Dispatcher to conduct direct business with brokers, shippers, or customers introduced by Dispatcher for a period of twelve (12) months following termination of this Agreement.

This Agreement shall be governed by and interpreted under the laws of the State of Michigan.

This document constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, negotiations, or representations.
